AI Features Terms

Review Teleport’s AI Features Terms outlining definitions, customer responsibilities, restrictions, and disclaimers for safe and compliant AI use.

These AI Features Terms (“AI Terms”) applies to Customer’s use of Teleport’s AI Features, and supplement and are incorporated into the online Terms of Service or other applicable agreement between Customer and Teleport (“Agreement”). By using AI Features, Customer agrees to these AI Terms.

Capitalized terms used and not defined in the AI Terms shall have the respective meanings set forth in the Agreement.  If there is a conflict between the AI Terms and Agreement, the AI Terms will govern.

  1. Definitions.
    1. “AI Content” means Input and Output.  For avoidance of doubt, AI Content does not include Usage Data.
    2. “AI Features” means the features powered by AI Technology provided to Customer pursuant to the Agreement, specifically and where applicable, the features identified in the applicable Sales Order.
    3. “AI Technology” means the simulation of human intelligence processes by computer systems, including machine learning technologies, which can, when given access to certain data and a set of human-defined objectives, generate outputs such as content, predictions, recommendations, or decisions.
    4. "Applicable Laws" means all statutes, regulations, or other binding authority applicable to the provision of the AI Features pursuant to the AI Terms.
    5. “High-Impact Use” means an AI Feature that (a) is a “high-risk artificial intelligence system,” as that term is defined in AI Laws, (b) is developed or deployed with the intended purpose of making automated predictions, recommendations, decisions, or other outputs that could or actually have a legal or similarly significant effect on the access of an individual to housing, employment, credit, education, healthcare, or insurance in a manner that poses a significant risk to rights afforded under Applicable Law, or (c) qualifies an “automated employment decision tool” as such term is defined in applicable law.
    6. “Input” means any input (e.g., prompt, query, command, text, video or other user instruction) provided by Customer or its Users to be processed by the AI Features.
    7. "Output" means any output (e.g., text, images, videos, reports, materials, and other content) generated and returned to Customer or its Users  by the AI Feature based on the Input. 
  2. Input and Output. 

    2.1. Teleport Obligations. The AI Features provide Output in response to Input. Teleport may not use Input or Output to train or improve the AI Features across customers. 

    2.2.  Additional Customer Obligations, Restrictions and Disclaimers. 

    (a) Output Use and Assessment. Customer is responsible for its use of Output, including determining whether Output is appropriate for that use.

    (b) Restrictions. Customer must not (and must not permit anyone else to): (i) provide Input that either violates third-party rights or Law or is intended, or would reasonably be expected, to generate Output that does so; (ii) use Output in a manner that Customer knows, or reasonably should know, violates third-party rights or Law; (iii) represent any Output as being approved or vetted by Teleport

    (c) Disclaimers. Teleport does not make any warranty as to the AI Features or Output, the results that may be obtained from the use of AI Features or the accuracy of any information obtained through AI Features, including with respect to the factual accuracy of any Output or suitability for Customer’s use case. Use of any material and/or data obtained through the use of the AI Features is at Customer’s sole risk. Customer should not rely on factual assertions in Output without independently fact checking their accuracy. No information or advice, whether oral or written, obtained by Customer from Teleport or through the AI Features creates any such warranty.

  3. AI Content:
    1. Customer is responsible for AI Content, including ensuring that it does not violate any applicable law. Customer represents and warrants that it has all rights, licenses, and permissions needed to provide Input to the AI Features, including consent from Customer end users where required by Applicable Laws.
    2. As between Customer and Teleport, and to the extent permitted by applicable law, Customer (a) retains its ownership rights in Input and (b) own the Output.
    3. Teleport will not use AI Content to train its artificial intelligence models.
  4. No High-Impact Uses.  Customer acknowledges that the AI Features have not been designed for and are not intended to be used for a High-Impact Use and will not use the AI Features for a High-Impact Use.
  5. Limitation of Artificial Intelligence.  Artificial intelligence is still a developing field.  Accordingly, Customer acknowledges and agrees that:
    1. Output may not be unique, and the AI Features may provide similar output to other users; and
    2. Customer must evaluate Output for accuracy and appropriateness for Customer’s desired use (including reviewing the Output by a human as appropriate) before using or sharing Output.
  6. Third Parties.
    1. If Teleport uses a thirty party to assist in providing the AI Features, it will impose contractual obligations on the third party that are substantially similar to those imposed on Teleport in these Terms.
    2. If Customer uses AI Features that permit the Software to communicate with AI Technology not owned or controlled by Teleport or its subcontractors (“External AI Technology”), Customer shall be solely responsible for its use of such External AI Technology.  Such use shall be governed by Customer’s agreements with External AI Technology providers, not these Terms or the Agreement.
  7. Availability and Modifications. We do not guarantee the availability of AI Features in any or all geographical areas. Notwithstanding anything to the contrary in this Agreement, any production downtime impacting AI Features that results from a failure of a third party service provider will not be included in the Availability Commitment.
  8. Notwithstanding anything to the contrary in our Terms of Service or these AI Terms, Teleport may make changes to AI Features that materially reduce the functionality provided to Customer during the Subscription Term or change the limits that apply to you at any time in our sole discretion.
